Business Terms and Conditions

1. Basic provisions

1. These transport terms and conditions apply to occasional bus transport of passengers and their luggage provided by Umbrella Travel s.r.o., Company ID 247 51 219, based at Pramenná 3, 148 00 Prague 4. The company operates road transport using vehicles designed to carry more than 9 people including the driver, as well as vehicles for up to 9 people including the driver.

2. These TCC form an essential part of the Transport Agreement entered into between Umbrella Travel s.r.o., Pramenná 3, 148 00, Prague 4, Company ID 24751219, registered with the Municipal Court in Prague under file number C 171300 (hereinafter referred to as “Umbrella Travel”), and the client, who can be either a private individual or a legal entity (hereinafter referred to as the “Client”). These terms are freely available at the Umbrella Travel office and on its website http://www.umbrellatravel.coach, where additional information can also be requested if needed.

2. Formation and content of the contractual relationship

1. The contractual relationship between Umbrella Travel and the Client is established by signing a written Transport Agreement. If no written contract issigned, Umbrella Travel will issue a confirmation or a voucher (for international occasional transport, this may be by email), which the Client must acknowledge. Both are considered the “Transport Agreement” or “Agreement.”

2. The Transport Agreement typically includes the identification of both parties, details of the transport (such as the date, route, destination, and possible return location), a list of any additional services included in the transport price, the total price, payment deadlines, and any agreed deposits. The content of the Agreement is also governed by these TCC and any special conditions that may be attached.

3. If the Agreement includes different terms than those stated in these TCC, the terms of the Agreement take priority.

4. The Client has the right to take part in the transport only if the full price is paid properly and on time before the transport begins, unless stated otherwise in the Agreement.

5. A Client who enters into the Agreement on behalf of other passengers is responsible for fulfilling all obligations under the Agreement for all persons listed in the Agreement, in these TCC, and in any additional conditions attached to the Agreement.

3. Rights and responsibilities of the carrier

1. Based on the signed Transport Agreement and full payment of the agreed price, Umbrella Travel agrees to transport the Client to the agreed destination and back, or along the route specified in the contract, properly and on time. Umbrella Travel also agrees to provide any additional services related to the transport as stated in the Transport Agreement.

2. Umbrella Travel has the right to refuse transport or exclude a Client from transport in the following situations:

  • The Client shows signs of intoxication or being under the influence of drugs or other substances.
  • The Client is physically unclean or wearing soiled clothing that goes against basic hygiene standards and could dirty the bus.
  • The Client smokes inside the vehicle.
  • The Client disturbs other passengers with inappropriate behavior or fails to follow the instructions of Umbrella Travel staff.
  • The Client shows clear symptoms of COVID-19.

3. Umbrella Travel has the right to change the type of vehicle depending on the number of passengers or to adjust the route due to traffic or road conditions.

4. Umbrella Travel may use its own vehicles or vehicles of its contractual partners. If a partner’s vehicle is used, Umbrella Travel remains fully responsible to the Client as if the transport was carried out using its own vehicles.

5. Umbrella Travel has the right to cancel the transport or part of it if circumstances arise that are beyond its control, could not have been prevented even with reasonable effort, and are the result of an unavoidable event (force majeure).

6. During the journey, passengers may be offered extra services (such as toilets, air conditioning, refreshments, Wi-Fi, etc.). If these services are not available for technical or operational reasons, the Client is not entitled to any compensation.

4. Rights and responsibilities of the passenger

1. The Client has the right to:

  • Request the transport and all additional services that were agreed upon and paid for under the Transport Agreement.
  • File a complaint regarding any faults or issues with the transport or the additional services, in line with Section 11 of these Terms and Conditions (TCC).
  • Be informed about any changes to the schedule, scope, quality, or price of the transport or related services.
  • Provide full and truthful information that is required for the Transport Agreementand necessary for the proper arrangement and delivery of services by Umbrella Travel.

2. The Client must pay the agreed price for the transport and all additional services as stated in the Transport Agreement, these TCC, or any attached special conditions. Unless otherwise stated in the Agreement, the passenger must:

3. After signing the Transport Agreement, the Client may transfer the contract to another person who meets the travel conditions. Umbrella Travel must be informed of this transfer, and the new person listed in the notice will take the original Client’s place. If the Client wants to make this change, they must do so in writing and deliver it to any Umbrella Travel branch or by mail to: Pramenná 3, 148 00, Prague 4. The written notice must include a signed statement from the new Client with all required personal details, confirmation of agreement with the existing Transport Agreement, these TCC, and any special terms, and a statement on whether they agree or disagree with the processing of their personal data according to Article 14 of these TCC.

For international occasional transport to Croatia, the Client may request the name change by email or customer service call no later than 48 hours before the scheduled departure.

Both the original and new Client are jointly responsible for paying the agreed priceunder the Transport Agreement. The change becomes valid once Umbrella Travelreceives the full notice and signed statement at least 10 days before departure (or 48 hours in the case of transport to Croatia). The same rules apply for a change of a fellow passenger. Each change in Client or passenger requires a handling fee of CZK 200, which must be paid immediately. Umbrella Travel reserves the right to reject a change of passenger.

4. The Client is specifically required to:

  • Pay 50% of the total service price at the time of booking, no later than 4 business days after signing the Transport Agreement.
  • Pay the remaining 50% no later than 4 weeks before the start of the trip.
  • For international occasional transport to or from Croatia, the Client must pay 100% of the service price at the time of booking.
  • Arrive at the departure point on time and present the driver, technical staff, or other authorized Umbrella Travel representative with the valid Transport Agreement or voucher. The voucher can also be shown using an electronic device (mobile phone, tablet, etc.).
  • Carry all required travel documents (ID card, valid passport, visa, proof of health insurance, etc.) for entry into all transit and destination countries. If the Client does not have valid travel documents, Umbrella Travel may deny boarding. In such cases, the Client has no right to a refund, even partially, including for other passengers in the group.
  • Comply with passport, customs, health, and other laws of the destination or transit countries. Any costs resulting from failure to follow these laws are the Client’s responsibility. If authorities prevent the Client from continuing the trip, they are not entitled to a refund or compensation. The Client is also responsible for covering any costs Umbrella Travel or its partners incur due to delays caused by breaking these rules.
  • Follow all instructions for travelers and obey the driver or any authorized Umbrella Travel staff responsible for safety and smooth transport.
  • Immediately report any issues or faults to the driver or another Umbrella Travel representative, or in writing after the trip if this is not possible during transport.
  • The Client is responsible for any damage they cause during the trip. Fulfill any other legal obligations based on applicable laws. Inform Umbrella Travel in advance if the Client or any co-traveler is a foreign national.
  • Ensure that children under the age of 15 are accompanied and supervised by an adult. If a child under 15 is accompanied by a third party, written consent from their legal guardians is required. Similarly, clients must arrange accompaniment and supervision for persons whose health condition requires it.
  • Children aged 16 and older may travel without an adult, provided they have a valid travel document and written authorization from their legal guardian.
  • Children under 12 are not allowed to sit in the front seats behind the driver, in the seats directly behind the rear doors, or in the middle seat of the last row.
  • Umbrella Travel / the carrier does not take responsibility for unaccompanied minors.
  • Clients aged between 15 and 18 must provide written consent from their legal guardians if they wish to enter into a Transport Agreement.
  • Strictly follow the non-smoking policy throughout the journey inside the vehicle.
  • Follow the baggage limits and the rules for transporting strollers, bicycles, animals, and other items as outlined in Section 5 of these Terms and Conditions.
  • Do not carry any soft or hard drugs, or other intoxicating or psychoactive substances. Do not bring items, food, or beverages into the vehicle that could easily soil or damage the bus, passengers, or their belongings.
  • Passengers must wear a seatbelt throughout the journey if the seat is equipped with one.
  • Avoid disturbing other passengers with inappropriate behavior or excessive alcohol consumption. The use of intoxicating or psychoactive substances is strictly prohibited.
  • Refrain from any behavior that could cause harm to the health or property of other passengers, third parties, or Umbrella Travel. Any damage caused must be compensated by the Client.
  • A Client who enters into a Transport Agreement on behalf of others must inform those individuals of all terms and conditions, including these TCC, any special conditions attached to the agreement, and all other relevant information. The Client is also responsible for ensuring that these individuals fulfill all basic duties expected of passengers, which apply individually to each traveler.

5. A Client who, for reasons not caused by Umbrella Travel, does not use all agreed services, is not entitled to any compensation or refund.

6. By signing the contract or purchasing a bus ticket for international occasional transport to or from Croatia, the Client/passenger agrees to these TCC and grants Umbrella Travel consent to process their personal data.

7. Breaks during the journey are not mandatory. Their timing and length are determined by the driver, based on the travel schedule.

8. The Client/passenger must return to the bus within the time specified by the driver or tour guide.

9. If the Client/passenger does not return to their seat on time, they are not entitled to any compensation or alternative transport.

5. Transport of luggage, strollers, bicycles, and animals.

1. Luggage must fit in the space above or below the seat.

2. Passengers are responsible for their hand luggage during the journey.

3. Umbrella Travel is not liable for theft of personal belongings in the passenger area.

4. If valuable items are placed in checked luggage, Umbrella Travel does not accept responsibility for them.

5. Staff are required to provide a written confirmation if luggage is lost.

6. This written confirmation serves as proof for filing a claim. Without it, the complaint will not be considered.

7. The transport price includes 2 pieces of luggage per passenger, with a maximum size of 67×50×27 cm and a maximum weight of 20 kg per item. o For international occasional transport to or from Croatia, the fare includes 1 piece of luggage with a maximum total outer dimension of 155 cm and a maximum weight of 20 kg. o Additional luggage will be transported only if there is available space.

8. Hand luggage may have a maximum size of 42×20×18 cm and a weight of up to 7 kg, and is transported free of charge.

9. All luggage must be clearly labeled with the passenger’s name and address to prevent confusion.

10. Valuables such as jewelry, cash, important documents, or medication must be carried in hand luggage and remain the passenger’s responsibility.

11. Any loss or theft of luggage stored in the luggage compartment must be reported to the staff immediately upon arrival at the destination, or during the trip if it is a multi-day tour.

12. If the value of checked luggage exceeds CZK 5,000, the Client/passenger must purchase additional luggage insurance. Umbrella Travel does not take responsibility for luggage exceeding this value.

13. Strollers and wheelchairs are transported free of charge, provided there is enough space and they can be folded.

14. Bicycles, skis, and snowboards can only be transported if there is available space, if agreed in advance, and must be properly packed to avoid damage to other luggage. A maximum of 5 oversized items can be transported per bus.

15. Additional or oversized luggage can only be transported if agreed in the Transport Contract or confirmed by Umbrella Travel upon request. A fee of CZK 500 per extra item applies (or CZK 250 / EUR 10 for international transport to Croatia). o Umbrella Travel reserves the right to refuse transport of any extra or oversized items if they were not declared during booking.

16. Umbrella Travel is not responsible for items left behind on the bus.

17. The transport of illegal or dangerous substances and items (e.g. drugs, explosives, ammunition, weapons) is strictly prohibited.

18. Animal transport is not permitted on international bus routes.

19. The only exception is for registered assistance and guide dogs, which must be properly identified and accompanied by valid documents required for the country of travel.

6. Price and payment terms

1. The price of transportation and related services is specified in the Transport Contract.

2. The price includes only those services that are explicitly mentioned in the contract or directly related to it.

3. Payment may be made in person at the Umbrella Travel office at Pramenná 3, 148 00 Prague 4 — either in cash, by payment card, or by bank transfer to Umbrella Travel's account.

4. Any discounts announced by Umbrella Travel after the Transport Contract has been signed do not entitle the Client to retroactively claim such discounts for the already concluded contract.

5. The Client is obliged to pay the full price stated in the Transport Contract before the transportation begins, according to the payment deadlines agreed in the contract.

6. Unless otherwise stated in the contract, the Client is required to make payment in accordance with Section 4.3.2 or 6.7 of these Terms and Conditions (SPP). If this obligation is not met, Umbrella Travel has the right to withdraw from the contract.

7. If the Transport Contract is concluded less than 4 weeks before the start of the transportation, the total price is due immediately upon signing the contract.

8. The Client must make the payment either in person at the Umbrella Travel office or via bank transfer to Umbrella Travel’s account number 31111133 / 5500, using the contract number as the variable symbol. In the case of bank transfer, the payment is considered completed on the day it is credited to Umbrella Travel’s account.

9. In the event of a delay in payment according to this Section, the Client agrees to pay Umbrella Travel a contractual late fee of 0.5% of the outstanding amount for each day of delay.

7. Withdrawal from the Contract and cancellation fees

The Client has the right to withdraw from the Transport Contract at any time before the start of the transportation, without stating a reason. The withdrawal becomes effective on the day Umbrella Travel receives the Client;s written notice of withdrawal. In such case, the Client is required to pay Umbrella Travel a cancellation fee based on the number of days prior to the scheduled start of the transportation on which the withdrawal notice was delivered to Umbrella Travel. Unless otherwise agreed in the

Transport Contract, the cancellation fees are set as follows:

The period before the scheduled departure or commencement of the agreed services during which UMBRELLA TRAVEL received the withdrawal from the contract, or withdrew from the contract itself.

2. This cancellation fee is due immediately. Umbrella Travel has the right to deduct the cancellation fee from any amount already paid by the client under the Transport Agreement and return the remaining balance to the client within 14 days of receiving the cancellation notice.

3. Umbrella Travel has the right to cancel the Transport Agreement if the transport is canceled for objective reasons beyond Umbrella Travel’s control. In such cases, the client is entitled to a full refund of the amount paid under the Transport Agreement. This amount will be refunded by bank transfer to the account from which the payment was made or to another account the client promptly provides, within 14 days of cancellation.

4. Umbrella Travel also has the right to cancel the Transport Agreement if the client breaches any obligations set out in the Agreement or these Terms and Conditions. In such cases, the client must pay the cancellation fee specified in Article 7.1 of these Terms and Conditions. In case of doubt, it will be assumed that the client’s breach justifies Umbrella Travel’s cancellation of the Agreement.

5. The cancellation by Umbrella Travel takes effect on the day the client receives written notice of cancellation, including the specific reason for it.

6. If the client cancels the Agreement, or if Umbrella Travel cancels it before the services begin due to the client’s breach, the client must pay the cancellation fee (penalty) stated in Article 7.1 of these Terms and Conditions. The amount depends on how many days before the planned departure or start of service the cancellation occurs. For calculating the number of days, the day the cancellation takes effect is included, but the day of the scheduled departure or start of service is not.

7. If the client does not start or use the booked services without canceling the Agreement beforehand for reasons on their side, they must pay 100% of the agreed total price to the carrier.

8. If the client is not transported on time due to reasons outside Umbrella Travel’s control (for example, a traffic accident, blocked road, heavy snowfall, etc.), the client has no right to compensation, cancellation of the Agreement, or refund of any part of the price.

8. Transportation Conditions

1. Umbrella Travel commits to providing transportation with qualified drivers in sufficient numbers to carry out the transport, including mandatory breaks, in accordance with the legal regulations of the Czech Republic and any third countries where the transport takes place.

2. Umbrella Travel has the right to choose the most suitable vehicle (bus, minibus, minivan, or passenger car) for any part of the transport based on the number of passengers, in accordance with the Transport Agreement.

3. If the client/passenger does not show up at the designated pickup/departure location within 15 minutes after the scheduled departure time, Umbrella Travel has the right to proceed without that client/passenger, who will then be excluded from the transport.

4. During the transport, Umbrella Travel will carry out mandatory safety breaks (usually 20 minutes after every 3–4 hours of driving) for drivers, as well as hygiene breaks for passengers, in compliance with the legal regulations of the countries where the transport occurs. The client/passenger is obliged to respect the announced length of such breaks.

5. The luggage transported outside the passenger area must not contain money, checks, credit cards, securities or other valuables, business or personal documents, passports or other identification documents, keys, mobile phones, jewelry and precious metal items, cameras, video cameras, or other electronic devices, artwork, fragile items, and similar valuables.

6. If required by its nature, luggage must be packed to protect its contents from loss or damage and to prevent it from causing harm to people, damaging the vehicle, other equipment, other luggage, or other items.

7. Luggage or its contents must not include items that could damage the vehicle or cause harm to life, health, or property, as well as bulky items and especially weapons, explosives, poisonous, radioactive, volatile or corrosive substances, or anything that could cause infection, etc.

8. The price of transportation includes a technical assistant service. The technical assistant is a driver or Umbrella Travel staff member who will assist clients/passengers during the transport, at boarding and disembarking at the destination, and also on the return to the original departure point.

9. The price of transportation also includes access to Umbrella Travel’s 24/7 assistance hotline, staffed by trained Umbrella Travel personnel ready to help with any transport-related situation. This hotline is available to clients at +420 725 688 750.

9. Complaints

1. If the services agreed in the Transport Agreement are faulty or not provided, the Client can make a complaint. Complaints must be made at any Umbrella Travel office no later than 7 days after the transport ends.

2. Complaints should be made quickly, ideally to the bus staff right away, so the problem can be fixed during the trip if possible. If the Client does not report the problem quickly and it is their fault, they lose the right to make a claim.

3. The Client must help with solving the complaint.

4. Complaints can be sent in writing. The Client should include the date, what the complaint is about, how they want it resolved, and sign it by hand. Umbrella Travel will give a written confirmation when they receive the complaint.

5. If luggage is lost or damaged, or if the Client notices something wrong when picking up luggage, they must immediately tell the driver or an Umbrella Travel representative and ask them to check and write a report. This report is important for the complaint.

10. Liability for Damage

1. If something happens that Umbrella Travel cannot control (like force majeure) or the Client causes a problem and does not use the service, the Client cannot get a refund or a discount.

2. Umbrella Travel is not responsible for damage the Client causes to themselves or damage caused by someone not connected to Umbrella Travel. Umbrella Travel also is not responsible for harm to the Client’s health or property unless it was caused by Umbrella Travel’s operation and could have been prevented with reasonable care.

3. The Client is responsible for any damage they cause to Umbrella Travel’s vehicle, other passengers, or others during the trip.

4. Umbrella Travel is not responsible for theft of the Client’s belongings in the passenger luggage area.

5. If the contract ends because of the Client or force majeure, Umbrella Travel is not responsible for extra costs like accommodation, insurance, or visas beyond what was agreed in the Transport Agreement.

6. Umbrella Travel’s liability for damages is limited by international agreements that the Czech Republic follows. For bus transport, liability is governed by EU Regulation No 181/2011 on passenger rights in bus and coach transport.

11. Insurance

1. The price of transportation includes insurance for passengers during the trip, as well as coverage for medical expenses related to the transport of people and luggage in the vehicle’s luggage compartment.

2. Personal travel insurance is not included. Umbrella Travel recommends that the Client arranges individual insurance for travel and stay abroad.

12. Processing of Personal Data

1. By signing the Transport Agreement, the Client agrees that Umbrella Travel may collect and process the Client’s personal data according to Act No. 110/2019 Coll., on the processing of personal data, in the following scope: name, surname, date of birth, address, and phone and email contacts, as well as any other contact addresses provided by the Client.

2. Umbrella Travel is allowed to process and store the Client’s personal data to offer services and products provided or arranged by Umbrella Travel. For this purpose, the Client’s name, surname, and address may be used. The Client’s email contact may also be processed and used to send marketing communications.

3. Umbrella Travel or its authorized processor may store and process the Client’s personal data as described above for a period of 5 years. After this period, Umbrella Travel is obliged to delete the data.

4. The Client’s personal data will be processed both automatically and manually, and kept in electronic and printed form.

5. The Client’s personal data may be accessed by Umbrella Travel employees, authorized processors, and in the case of email contacts, by those authorized to send marketing messages on behalf of Umbrella Travel according to Act No. 480/2004 Coll., on certain information society services.

6. When processing personal data, Umbrella Travel must ensure that the Client’s rights are respected, especially the right to human dignity and protection from unauthorized interference with their private and personal life.

7. The Client has the right to withdraw consent to the processing of their personal data at any time in writing. Regarding email marketing communications, the Client can refuse the use of their email address free of charge at any time, either by notifying Umbrella Travel or through the unsubscribe option provided in each message, as required by Act No. 480/2004 Coll.

8. The Client has the right to access their personal data, request updates, corrections, or deletion of their data, and exercise other rights under Act No. 110/2019 Coll.

13. FINAL PROVISIONS

1. These General Transport Conditions (GTC) come into effect at the moment the Transport Agreement is signed.

2. The rights and obligations of the parties under the agreement and these GTC are governed by the laws of the Czech Republic.

3. In accordance with Act No. 216/1994 Coll., on arbitration proceedings and the enforcement of arbitral awards (the “Act”), the parties agree that any property disputes arising from this Transport Agreement and these GTC will be resolved by arbitration before a sole arbitrator: JUDr. Karel Schelle, LL.M., MBA, attorney based in Brno, Czech Bar Association number 12495.

If this arbitrator is unable or unwilling to serve, the arbitrator will be appointed by the managing director of Arbitrážní centrum s.r.o., located at Staré náměstí 17, 363 01 Ostrov, Company ID 28032080 (“Arbitration Center”), at their sole discretion. The appointed arbitrator will be selected from lawyers or trainee lawyers registered with the Czech Bar Association.

The parties consider this appointment process to be clear, transparent, compliant with the law, and fair, without any bias toward either party. The parties expressly do not want any general court to declare this arbitration clause invalid for any reason, as they intend to exclude the jurisdiction of ordinary courts over property disputes arising from this agreement.

The arbitrator will decide disputes according to principles of fairness and conduct arbitration in accordance with the Arbitration Rules effective from 01.04.2012, as recorded in notarial record NZ 62/2012 dated 30.03.2012 by notary Mgr. Adéla Gabányiová in Karlovy Vary (“Rules”).

The parties confirm they have read and understood these Rules, consider them part of this arbitration clause, and have each received a copy, fulfilling the requirements of §19(4) of the Act.

4. All information and instructions contained in these GTC comply with applicable laws and known facts at the time of issue. Umbrella Travel reserves the right to update or change them according to valid legal regulations.

5. The rights and obligations under the Transport Agreement are primarily interpreted based on the exact wording of the agreement and these GTC. The parties’ intent is considered only if it does not contradict the wording. If any ambiguity arises about the meaning of specific terms, other legal interpretation rules will apply, considering relevant context before or after the agreement was made, as long as this does not conflict with the agreement’s content, purpose, or these GTC. The Transport Agreement creates only those legal consequences expressly stated in it or arising by law.

6. If any part of the Transport Agreement or these GTC becomes invalid, void, or unenforceable, this will not affect the validity or enforceability of the rest of the agreement, provided the invalid part can be separated from the rest. The parties agree to replace any invalid or unenforceable part with a valid one that most closely matches the original meaning and purpose.
